Terms of Service
These Terms of Service govern your access to and use of the Apycue platform, including all products, services, AI agents, websites, and related features provided by Apycue Intelligence Private Limited, with its registered office at D-114, ITC Building, Majura Gate, Surat – 395002, Gujarat, India. By accessing or using the Service, you agree to be bound by these Terms.
1 · Introduction
By accepting these Terms, or by accessing or using the Service, you represent and acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
If you do not agree with these Terms, you must not access or use the Service. These Terms constitute a binding agreement between you and Apycue, even though electronic and not physically signed, and supersede any prior agreements between you and Apycue.
2 · Description of Service
Apycue is an AI Platform designed for hotels and accommodation providers. The Service includes: AI-powered website creation and management (Apycue Studio); AI agents for marketing, reservations, guest communication, and review management; digital presence audits and analytics; campaign management, guest database, and content intelligence; integration with third-party platforms and OTA channels; and any new features or services added from time to time.
AI-based Services are dynamic and may evolve over time in response to user interactions, data inputs, algorithm changes, or updates. Apycue makes no guarantees as to the accuracy, completeness, or reliability of outcomes produced by AI-based Services and reserves the right to modify or discontinue any aspect without prior notice.
3 · Account Registration & Security
To use the Service, you must create an account and provide accurate, complete, and current information. You will be provided with a username, password and a unique code to access the Service. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your credentials or any breach of security. Apycue will not be held accountable for changes made by users, services, or channels associated with your account.
4 · Subscription & Payment Terms
Apycue offers services on a subscription basis and/or a commission-based model. Specific pricing, billing cycles, and payment terms will be detailed in your service agreement or displayed at the time of purchase.
Subscription fees are billed in advance on a monthly, quarterly, half-yearly or annual basis, as selected by the Customer. Commission-based fees (where applicable) are calculated as a percentage of direct bookings generated through the Apycue platform and are billed in arrears.
All fees are quoted in the currency specified in your subscription or invoice (INR for Indian customers; USD or other applicable currency for international customers). Payments are processed entirely through secure third-party payment gateways (Stripe and/or Razorpay). Apycue does not directly collect, store, or process payment card details.
All fees are non-refundable except as expressly stated in our Cancellation & Refund Policy. Prices are subject to change upon 30 days' prior written notice. Late payments may result in suspension of access to the Service.
5 · Customer Obligations
As a Customer, you agree to: use the Service only for lawful purposes and in compliance with all applicable laws and regulations; provide accurate hotel information, content, and data required for the proper functioning of the Service; be solely responsible for the accuracy of content entered into the Service under your account; not reverse-engineer, decompile, or attempt to extract the source code of the Service; not use the Service to transmit malicious code, spam, or harmful content; not resell, sublicense, or redistribute access without prior written consent; maintain the security of any third-party credentials you provide for integration purposes; and indemnify Apycue against any claims arising from content entered under your account or your failure to perform your obligations under these Terms.
6 · Intellectual Property
All intellectual property rights in the Service — including the platform, AI models, algorithms, designs, code, and documentation — are and shall remain the exclusive property of Apycue and its licensors. These Terms grant you only a revocable, non-exclusive, non-transferable, non-sublicensable, limited right to access and use the Service during the subscription term, solely for your internal business operations.
Content that you provide or upload (hotel information, images, text) remains your property. By uploading content, you grant Apycue a non-exclusive, worldwide license to use, display, and process such content solely for the purpose of providing the Service.
7 · AI-Generated Content Disclaimer
The Service uses artificial intelligence to generate content including website copy, marketing materials, review responses, and campaign content. AI-based Services are dynamic and may produce varying results. Apycue makes no guarantees as to the accuracy, completeness, or reliability of AI-generated content. You are solely responsible for reviewing and approving all AI-generated content before it is published or distributed. Apycue shall not be liable for any claims, damages, or losses arising from AI-generated content that you publish without adequate review.
8 · Data Ownership & Processing
You retain ownership of all data you provide to the Service ("Customer Data"). Apycue processes Customer Data solely to provide and improve the Service, in accordance with our Privacy Policy. We do not sell Customer Data to third parties.
"Guest Data" refers to personal information of your hotel guests collected through the Service. We process Guest Data only as directed by you and in accordance with our Privacy Policy and applicable data protection laws.
9 · Service Availability
Apycue will use commercially reasonable efforts to make the Service available and to minimize any downtime. The Service is provided "as is," "as available," and "with all faults." Apycue does not guarantee that the Service will be uninterrupted or error-free. Maintenance may cause temporary unavailability; we will attempt to minimize impact and perform maintenance during low-usage periods.
10 · Third-Party Integrations
The Service may integrate with third-party platforms, OTA channels, social media platforms, and other services. Apycue shall not be responsible if it cannot obtain access to any third-party system required to provide the Service due to changes in third-party systems. However, Apycue will make every effort to reinstate such connections. Any third-party fees arising from integrations shall be borne by the Customer unless otherwise agreed.
11 · Limitation of Liability
To the maximum extent permitted by applicable law, Apycue shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service. Our total aggregate liability shall not exceed the total fees paid by you to Apycue in the twelve (12) months preceding the claim.
Apycue shall not be liable for any failure arising from acts of God, war, earthquake, riot, fire, flood, pandemic, strikes, government orders, or any other cause beyond reasonable control.
12 · Indemnification
You agree to indemnify, defend, and hold harmless Apycue, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to: your use of the Service; your violation of these Terms; your violation of any rights of a third party; or any non-compliance with applicable regulations on your part.
13 · Confidentiality
Each party agrees to protect confidential information exchanged during the engagement, including pricing, service details, and proprietary data. Confidential information must not be disclosed to any third party without prior consent. This obligation survives termination. Exemptions include publicly known information or disclosures required by law.
14 · Term & Termination
These Terms remain in effect for the duration of your subscription. Either party may terminate the agreement by providing not less than 30 days' prior written notice (notice may be given via email). Upon termination: your right to access or use the Service is immediately revoked; you shall cease all use of the Service; you may request export of your Customer Data within a reasonable period following termination; after such period, Apycue reserves the right to delete your data. Any charges paid prior to termination will be handled as per our Cancellation & Refund Policy.
15 · Billing Disputes
Apycue must receive notice of billing disputes within 60 days of the invoice date, otherwise you shall be deemed to have accepted such charges.
16 · Modifications to Terms
We reserve the right to amend these Terms at any time by giving not less than 30 days' prior written notice. By continuing to use the Service after the effective date, you confirm acceptance of the amended Terms.
17 · Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Surat, Gujarat, India. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for 30 days.
